1. Introduction

Welcome to DriveCore. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and DRIVECORE LTD ("we", "our", or "us"), a company registered in England and Wales (Company No. 16750234), governing your access to and use of the DriveCore vehicle tracking platform, including our web dashboard, mobile applications (iOS and Android), and all related services, features, content, and software (collectively, the "Services").

By registering for an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services. Please read these Terms carefully before using DriveCore.

These Terms should be read together with our Privacy Policy, which describes how we collect, use, and protect your personal data. Our Privacy Policy is incorporated by reference into these Terms.

2. Acceptance of Terms

By creating an account, clicking "I Accept", or otherwise using our Services, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into a binding contract
  • You are not prohibited from using the Services under applicable law
  • You will provide accurate, current, and complete information during registration
  • You will comply with these Terms and all applicable laws and regulations

If you are using the Services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

3. Description of Services

DriveCore provides vehicle tracking and fleet management services, including but not limited to:

  • Real-time GPS tracking: Live location monitoring of registered vehicles
  • Historical playback: Route replay and trip history
  • Geofencing: Virtual boundaries with entry/exit alerts
  • Alerts: Overspeed, geofence, low battery, and custom notifications
  • Reports and analytics: Mileage, driving behaviour, and operational statistics
  • Mobile apps: iOS and Android applications for on-the-go access
  • Web dashboard: Browser-based management interface

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

4. Account Registration and Security

To use certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Accept responsibility for all activities that occur under your account

You must notify us immediately of any unauthorised access or breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. Subscription, Fees, and Payment

5.1 Subscription Plans

Access to the Services may require a paid subscription. Subscription plans, pricing, and features are set out on our website and may vary by tier (e.g. individual, fleet, enterprise). Prices are in GBP and exclude VAT unless otherwise stated.

5.2 Payment

Payments are processed securely via Stripe. By subscribing, you authorise us to charge your chosen payment method on a recurring basis (monthly or annually) until you cancel. You are responsible for all applicable taxes.

5.3 Cancellation and Refunds

You may cancel your subscription at any time from the Billing section of your account. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial periods. Refunds may be considered on a case-by-case basis at our discretion.

5.4 Price Changes

We may change subscription fees with reasonable notice. Continued use of the Services after a price increase constitutes acceptance of the new price. If you do not agree, you may cancel before the change takes effect.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Track individuals without their knowledge or consent where required by law
  • Use the Services for any illegal, harmful, or fraudulent purpose
  • Attempt to gain unauthorised access to our systems, networks, or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Resell, sublicense, or commercially exploit the Services without our written consent

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in conduct that harms the Services or other users.

7. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, design, logos, trademarks, and content, are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable licence to access and use the Services for your personal or internal business use in accordance with these Terms.

You may not copy, modify, distribute, sell, or create derivative works from the Services without our prior written consent. The DriveCore name and logo are our trademarks.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. GPS and location data may be subject to inaccuracies due to signal limitations, environmental factors, or technical issues. We are not responsible for decisions made based on such data.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill
  • Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim
  • We are not liable for any failure or delay due to circumstances beyond our reasonable control (e.g. acts of God, war, terrorism, pandemics, strikes)

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless DRIVECORE LTD, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or data you submit to the Services

11. Termination

You may terminate your account at any time by contacting us or using the account deletion process. We may suspend or terminate your account immediately, without prior notice, if you breach these Terms or for any other reason at our discretion.

Upon termination, your right to use the Services ceases. We may retain your data as required by law or as set out in our Privacy Policy. Provisions that by their nature should survive termination (e.g. intellectual property, limitation of liability, indemnification) shall survive.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales shall have exclusive jurisdiction to resolve any disputes arising from or relating to these Terms or the Services.

13. Dispute Resolution

Before initiating legal proceedings, you agree to contact us at support@drivecore.co.uk to attempt to resolve any dispute informally. We will endeavour to resolve the dispute within 30 days. If the dispute cannot be resolved, it shall be referred to the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last updated" date
  • Sending an email to your registered email address
  • Displaying an in-app or in-dashboard notification

Your continued use of the Services after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and may terminate your account.
